This Service Agreement ("Agreement") is entered into on the date of signature between:

The Provider will provide the services described in Annex A (the "Services"). Any change to scope must be agreed in writing.
The Client will pay the Provider the fees set out in Annex A. A deposit of 30% is due on signing to secure dates. Remaining balance due within 14 days of invoice.
This Agreement starts on the signing date and continues until Services are completed. Either party may terminate for material breach with 14 days' written notice if breach is not remedied.
Each party will keep confidential information confidential and will not disclose it except as permitted by this Agreement or required by law.
All materials created by the Provider remain the Provider's intellectual property. The Provider grants the Client a limited license for internal use.
Provider's total liability shall not exceed the fees paid for the Services. Each party indemnifies the other against third-party claims arising from their breach of this Agreement.
This Agreement is governed by the laws of the State of Delaware, United States.
